What we're looking for: You will be responsible for the drafting and front-line negotiation of complex enterprise product and professional services agreements with Wrike customers. You will work directly with your Enterprise Sales team daily, assessing Wrike needs, creating a negotiation strategy, and carrying out that strategy toward contract signature. Overview: As Commercial Counsel at Wrike, you will provide legal support to Enterprise Sales, reporting into the Associate General Counsel. Responsibilities: Draft, redline, and negotiate enterprise-level agreements for the licensing and/or sale of SaaS, software, hardware and professional services offerings. Negotiations are conducted via email exchange and live via conference calls with the customer. Be capable of reviewing and redlining customer templates where it is not possible to work from Wrike templates. Possess SaaS industry knowledge, particularly as to SaaS sales terms and practices that come with selling cloud to enterprise businesses. Knowledge in, and maintain compliance with, data-privacy, data-security, revenue recognition rules, and various Wrike policies and procedures. Produce quality work, using creativity and flexibility to reduce the number of cycles needed to get Wrike and its customers to agreement quickly and efficiently. This includes being articulate, diplomatic, approachable, and possessing good business and personal judgment. Provide sound, thoughtful, responsive legal interpretations of customer agreements as requested by Sales, Finance, and other departments. Need to understand complex contractual and business issues, assess risk, and provide business-focused legal advice to clients. Prioritize assignments effectively to provide client service, by prompt and timely communication with clients and Legal Department management. Take on Legal Department projects with energy and enthusiasm and work with Legal Department management and other team members to deliver results. Accept change in the organization and the role, working collaboratively to ensure our Sales clients receive excellent support and service. Basic Qualifications: 3-5 years of law firm and/or in-house experience preferably with SaaS commercial transactions experience. Comfortable working independently with little oversight in a fast-paced Sales environment. Ability to work with a demanding enterprise Sales organization. Lead negotiations with challenging enterprise-level customers, including conference call negotiations. Transaction experience with negotiation of complex contracts and/or licensing agreements, including negotiation techniques. J.D. from US or foreign law degree with LL.M. from a US institution, with strong academic record. Preferred Qualifications: Knowledge of technology contracts construction, revenue recognition principles, business law, and seeks opportunities for continuous learning. Maintains awareness of industry trends and marketplace changes. Excellent attention to detail, outstanding oral and written communication/negotiation skills, well-honed analytical skills, and project management skills. Self-motivated, proactive, problem solver, great teammate that can drive time-sensitive projects at the pace of Sales. Ability to remain calm under pressure, while maintaining a good sense of humor. A positive attitude and good sense of humor is important to this role. Practicing knowledge of revenue recognition principles and ability to learn company-specific implementation of these principles. Practicing knowledge of data-privacy and data-security issues and associated exhibits. Self-starter and fast learner. You like a challenge.
